Base Camp

This is a preliminary draft, not a final, attorney-reviewed agreement. It is posted here as the working terms while Base Camp is in early access, and will be replaced by a reviewed version before general availability.

1. Agreement to terms

These Terms of Service ("Terms") govern access to and use of Base Camp, a software platform operated by Ridgevia ("Ridgevia," "we," "us") for direct primary care practices. By registering a practice, creating an account, or otherwise using Base Camp, you agree to these Terms on behalf of yourself and the practice you represent. If you don't agree, don't use Base Camp.

2. What Base Camp is

Base Camp is an administrative and communications tool: it triages inbound patient messages, helps route them to the right staff member, and provides a health agent — an AI assistant — that answers staff questions using a practice's own patient records. Base Camp is a software vendor to your practice. It is not a healthcare provider, does not practice medicine, and does not provide medical advice to patients directly.

3. The health agent is not a doctor

Every answer, summary, or suggestion produced by the health agent is a starting point for a licensed clinician, never a final answer. The health agent is an AI language model. It can misread a chart, miss context, or state something with confidence that is simply wrong. It does not examine patients, does not hold a medical license, and does not bear clinical responsibility for anything it outputs.

Staff must independently verify any clinical information the health agent provides — against the patient's actual record, current clinical guidelines, and the staff member's own professional judgment — before it informs any decision about a patient's care, a message sent to a patient, or anything entered into a medical record. The same applies to the deterministic triage layer: its urgency classification and routing are a workflow aid, not a clinical judgment, and a human is always the one who decides how to actually respond to a patient.

Base Camp is not a substitute for professional medical judgment, diagnosis, or treatment, and must never be presented to a patient as one. Ridgevia disclaims all liability arising from clinical decisions made in reliance on health agent output that was not independently verified by qualified staff.

4. Accounts and eligibility

Base Camp accounts are provisioned by a practice's own super admin, or created via the registration form on this site. You're responsible for what happens under your account, including keeping your credentials confidential and for the actions of anyone your practice grants access to. Tell us promptly if you suspect unauthorized access.

5. Acceptable use

Use Base Camp only for legitimate practice administration and patient communication purposes. Don't attempt to access another practice's data, circumvent access controls, reverse-engineer the platform, or use it in a way that violates applicable law, including HIPAA and other healthcare-privacy regulations that apply to your practice independent of Base Camp.

6. Patient data and HIPAA

Where a practice is subject to HIPAA, Ridgevia operates as a Business Associate under a signed Business Associate Agreement, and Base Camp is built with that obligation in mind (encryption at rest, an append-only audit trail, and configurable data retention). A practice remains responsible for its own compliance obligations as a Covered Entity, including obtaining any patient consent its own policies require.

7. Fees and billing

Paid plans are described on the Pricing page and billed as stated at signup. Early access pricing is introductory and may change with notice before it applies to a practice's next billing period. Custom/practice-group pricing is whatever is agreed in writing between Ridgevia and that practice.

8. Availability and changes

Base Camp is provided on an "as available" basis. Features described as experimental or "coming next" may change or be removed before general release. We'll try to give notice of changes that materially affect existing functionality, but early-access software can and will change.

9. Disclaimer of warranties

Base Camp is provided "as is," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Ridgevia is not liable for indirect, incidental, or consequential damages arising from use of Base Camp, including any clinical decision made in reliance on health agent output that was not independently verified as described in Section 3.

11. Termination

Either party may stop using or providing Base Camp at any time. On termination, a practice's data is handled per its configured retention policy and any separate data processing agreement in place.

12. Changes to these terms

If these Terms change, the effective date above will be updated. Continued use of Base Camp after a change means you accept the updated Terms.
